MakeUse

Terms of Use

Terms governing MakeUse licenses, user content, AI, subscriptions and the responsibilities of both parties.

1. Contracting party and scope

These Terms of Use (“Terms”) govern the rights and obligations between you and Make Use (“we,” “us” or “our”) concerning the MakeUse mobile applications and related websites (“Services”). Contact: support@makeuse.app.

Read these Terms before accepting them or purchasing a service, particularly the provisions on payment, automatic renewal, AI, termination and liability. The final version will be accepted through the applicable confirmation process. Merely viewing this draft does not purchase a service or accept new obligations. Personal information processing is described in the Privacy Policy and specific notices; these Terms do not replace legally required consent or separate consent.

2. Services and eligibility

MakeUse provides personal financial recordkeeping, task and schedule management, document recording and related assistance. Synchronization, AI, speech, calendar, focus and membership features may vary by platform, version and purchased plan, as described in the actual service and at purchase. Plans or announcements are not automatically part of a purchase, without limiting express promises made on the purchase page.

You must have the legal capacity required to use the Services and enter the relevant transaction. Minors must use them with guardian guidance and any legally required consent.

Obtain the app from official or authorized sources and protect your devices, purchase identity and cloud accounts. Contact support promptly if credentials are misused or entitlements appear incorrect. Using a personal cloud account does not itself mean you have provided its password to us.

3. License and intellectual property

Subject to these Terms and applicable law, we grant you a limited, non-exclusive license, not transferable or sublicensable without authorization, to use the Services on supported devices for personal, educational and lawful work activities.

Except for user content, third-party materials and separately licensed elements, rights in the software, interface, branding and related materials remain with their respective owners. These Terms do not transfer those rights. Third-party and open-source components are governed by their own licenses. These Terms do not restrict statutory rights to interoperability, research, backup or other rights that cannot be excluded.

4. User content and necessary permissions

You retain your existing rights in content you create, import or submit. You must have a lawful basis or permission to use that content, including where it contains another person’s information, confidential materials or intellectual property.

Solely to provide features you request, you authorize us and necessary service providers acting on our behalf to store, copy, transmit, convert and process the relevant content to the extent and for the period required. This does not change ownership or authorize selling content, publishing private materials or using them for unrelated advertising. The permission ends when the relevant processing purpose ends, except for legally permitted retention and transitional deletion processing described in the Privacy Policy.

General product suggestions you voluntarily provide may be used to improve the Services without individual payment or attribution. Personal information, private content and information subject to an express confidentiality agreement remain protected. Feedback is not an unlimited license to all submitted content or permission to publicly use screenshots.

5. Local data, synchronization and third parties

Keep independent backups of important content and check the scope before changing devices, restoring backups, switching cloud accounts or deleting data in bulk. Synchronization can propagate edits, deletions and conflict resolutions across devices; it is not a substitute for independent backups. This advice does not release us from liability for our fault under applicable law.

Cloud synchronization requires the relevant account, permissions, storage capacity and connectivity. Platform availability, device settings and version differences may affect synchronization and reminders. Apple, Google, Microsoft and system services are also subject to the applicable terms you enter with those providers. We remain responsible for our own integrations and conduct.

Uninstalling the app, disabling synchronization, revoking cloud access, deleting online records and canceling subscriptions are separate actions. Restoring purchases does not restore local content that has been deleted.

6. AI and other assistance

AI features call DeepSeek through our server and may process your input and context necessary to complete the request. See the Privacy Policy and feature notices for information categories and recipients. You may choose not to use AI.

You retain your existing rights in AI input. As between you and us, to the extent permitted by law, we do not assert rights in output generated for your request that would prevent your use of it. Output may not be unique, may resemble others’ results or may not qualify for copyright protection. This provision does not guarantee that output is free of third-party rights.

AI can produce inaccurate, incomplete or unsuitable results, including errors in amounts, currencies, categories, dates and task schedules. Review results before accepting or executing them, especially bulk changes, important schedules and content involving others. Use the preview, confirmation or undo mechanisms actually provided; not every action can be undone.

Financial statistics and AI output support information organization and assistance only. They are not investment, financial, tax, legal, medical or other professional advice. The Services do not provide custody of funds, payment clearing or securities trading, and must not be the sole safeguard for emergency response, life safety or other situations requiring absolute timeliness or accuracy.

7. Paid plans, prices and allowances

Before purchase, we will clearly display the applicable price, currency, billing period, features, platform coverage, trial conditions and AI allowances. The description you confirm at purchase governs. Only actually listed products are available; these Terms do not promise identical plans on every platform.

  • Recurring subscriptions: Provide agreed entitlements while active, subject to Section 8 on renewal.
  • One-time or lifetime purchases: The product itself does not generate recurring charges. Included features, platforms and online services depend on express purchase commitments. We will not retrospectively redefine a product to reduce promised entitlements, and new standalone services are not automatically included unless promised.
  • Trials and promotions: Eligibility, duration, subsequent charges and cancellation methods will be displayed before commencement.
  • AI allowances: Measurement, resets, limits and behavior after exhaustion will be specified before purchase. Carryover and expiry follow the conditions disclosed at that time. Limited allowances will not be represented as unlimited usage.

Material price or entitlement changes will be notified in advance as required by law and follow applicable procedures. They will not retrospectively increase charges for completed purchases. Paid periods and existing commitments will receive appropriate treatment under law.

8. Renewal, cancellation, restoration and refunds

An automatically renewing Apple subscription renews for the period and price shown at purchase unless canceled under the platform’s rules. Trial conversion dates and prices appear on the confirmation screen. Cancel within the platform’s required timeframe to avoid unwanted charges.

Manage subscriptions on iPhone or iPad under Settings → Apple Account → Subscriptions, or see Apple’s cancellation instructions. Cancellation generally affects the next period, while the current paid period continues according to the applicable purchase rules. Uninstalling the app, stopping use or deleting data does not automatically cancel a subscription.

Use the same purchasing platform account and the app’s restore-purchases function to revalidate entitlements. Cross-platform availability depends on the express purchase description.

For Apple payments, request a refund through Apple’s refund process. We will assist with entitlement issues. Refunds, reversals or expiry may result in corresponding entitlement adjustments based on the platform’s confirmation. These Terms do not exclude statutory rights to refunds, repair, replacement, price reduction, contract termination or other consumer remedies.

Where your jurisdiction provides a statutory withdrawal right for digital content or services, that right applies under relevant law. Any lawful exception or loss of that right applies only when its legal conditions and required express consent and acknowledgment are satisfied. General acceptance of these Terms does not replace them.

9. Acceptable use

You must not use the Services for unlawful activities, privacy or intellectual property infringements, malicious code, impersonation, credential theft, fraudulent purchases, deliberate circumvention of billing or abusive consumption of request allowances.

Without authorization, you must not attack or disrupt the Services, access or modify another person’s data, or resell our online services. You must not use AI to infringe others’ rights or circumvent reasonable safety controls. This section does not prohibit conduct expressly permitted by applicable law or an open-source license.

Report security issues through support and avoid unnecessary access to, copying of or public disclosure of others’ information.

10. Preview features and changes

Features expressly labeled beta, preview or experimental will be identified as such and may have lower stability, compatibility or availability than released features. You can choose whether to use them and should not rely on them as the only location for important data. This provision does not reduce paid commitments or statutory protections.

We may change the Services for maintenance, security, compatibility or legal requirements. Changes materially adverse to core features or purchased entitlements will be communicated in advance through appropriate means, with reasonable arrangements, except where urgent risks or legal restrictions prevent advance notice.

11. Suspension and termination

Where reasonable grounds indicate a serious breach, unlawful activity, fraud or security risk, we may impose proportionate restrictions. Where practicable and legally permitted, we will explain the reasons, scope and appeal method and allow a reasonable opportunity to remedy the issue, except where immediate action is necessary.

If we plan to discontinue a service, we will give legally required advance notice, provide a reasonable opportunity for data export or handling where feasible, and appropriately address unfulfilled paid entitlements. Termination does not automatically delete copies on your devices or personal cloud accounts.

You may stop using the Services at any time and manage data under the Privacy Policy. Automatic renewal must still be canceled separately through the purchasing platform. Termination does not affect accrued payment obligations, statutory refund rights, lawful information retention or provisions intended by their nature to survive, including intellectual property and dispute resolution.

12. Service standards and liability

We will provide the Services with the care and skill required by applicable law and address faults within reasonable limits. Networks, devices, permissions, third-party failures or events beyond reasonable control may affect availability. We do not guarantee uninterrupted or entirely error-free operation in every circumstance.

Liability for loss is determined by applicable law, each party’s fault and causation. Accepting these Terms does not make you responsible for all losses unrelated to your conduct.

These Terms do not exclude or limit liability that cannot lawfully be excluded or limited, including personal injury, property loss caused by intentional misconduct or gross negligence, and applicable consumer, personal information and statutory service protections. Third-party participation does not automatically release us from responsibility.

13. Updates, governing law and disputes

Updates will show their version and effective dates. Material changes to your rights or obligations will be prominently communicated. Where renewed acceptance is required, we will follow the appropriate process rather than treating silence or merely viewing a page as acceptance of new obligations. Updates do not retrospectively reduce existing statutory or contractual rights.

This draft proposes mainland Chinese law for services directed to mainland Chinese users. Regardless of a choice of law, mandatory consumer protections and other non-excludable rights of your habitual residence remain protected.

You may first contact support@makeuse.app to resolve a dispute. Contacting us is not a prerequisite to a complaint or judicial remedy. If unresolved, either party may seek relief in a court with lawful jurisdiction. These Terms do not impose mandatory arbitration, waive collective remedies or exclude statutory access to courts.

If a provision is invalid, other independently applicable provisions remain effective. The Chinese and English versions are intended to have equivalent meaning. Differences will be interpreted under applicable law without reducing mandatory rights. Contact support for clarification.
